UGC Content Licensing & Usage Rights

Unless otherwise agreed to in writing, all content created by Carley Brewer remains the intellectual property of Carley Brewer.

When a Client purchases UGC content, the Client receives a limited license to use the approved content only through the agreed-upon channels, platforms, placements, and time period established as part of the project scope.

Standard Usage Rights

Unless additional usage rights are purchased or approved in writing, the Client may use the delivered content only for the specific organic or paid placement agreed upon before production.

For example, usage may include:

  • Organic social media posts

  • Paid social advertisements

  • Website or landing page placement

  • Email marketing

  • Product detail pages

  • Brand-owned social media accounts

  • Other specifically approved digital placements

Usage rights do not automatically extend beyond the agreed scope.

Additional Commercial Usage

Content may not be reused, repurposed, distributed, licensed, or published through additional commercial channels without prior written approval from Carley Brewer.

Additional usage may include, but is not limited to:

  • Television or streaming advertisements

  • Connected TV advertising

  • YouTube pre-roll or other video advertising

  • Print advertising

  • Magazine or newspaper placement

  • Billboards or other out-of-home advertising

  • Retail signage or in-store displays

  • Packaging

  • Product inserts

  • Catalogs

  • Trade show or event displays

  • Amazon, Walmart, Target, or other third-party marketplace advertising

  • Affiliate advertising

  • Influencer whitelisting

  • Creator account advertising or Spark Ads

  • Paid media outside the originally agreed campaign

  • Syndication through retailers, distributors, agencies, or other third parties

  • Resale, sublicensing, or transfer of the content to another company

  • Use in perpetuity unless perpetual rights have specifically been purchased

Additional licensing fees may apply depending on the platform, duration, audience, geographic reach, media spend, and intended commercial use.

Editing & Repurposing

Reasonable editing for formatting purposes, including resizing, cropping, captioning, adding approved branding, or adapting the content for an agreed platform, is permitted unless otherwise specified.

The Client may not materially alter the content in a way that changes Carley's statements, endorsement, appearance, meaning, or representation without prior approval.

Content may not be used in connection with misleading claims, unlawful products or services, defamatory material, or messaging that could reasonably misrepresent Carley Brewer or her endorsement of a brand or product.

Artificial Intelligence & Synthetic Media

Content created by Carley Brewer may not be used, uploaded, submitted, processed, modified, reproduced, or otherwise incorporated into any artificial intelligence, machine learning, generative AI, synthetic media, or automated content-generation system without Carley Brewer's prior written consent.

This restriction includes, but is not limited to, using Carley's image, likeness, voice, appearance, mannerisms, performance, written content, raw footage, or delivered media to:

  • Train, fine-tune, test, or develop an AI or machine-learning model

  • Create AI-generated or AI-altered images, video, audio, or voice

  • Create digital replicas, avatars, virtual influencers, deepfakes, or synthetic versions of Carley

  • Clone, recreate, imitate, or manipulate Carley's voice or likeness

  • Generate new advertisements or content that appears to feature Carley

  • Extend, replace, or modify spoken dialogue using AI-generated audio or lip synchronization

  • Alter Carley's facial expressions, body, appearance, surroundings, actions, or performance

  • Generate new scenes, backgrounds, products, endorsements, testimonials, or statements not present in the original content

  • Use the content as training data, reference data, prompts, source material, or datasets for AI systems

  • Provide the content to a third party for any AI-related purpose

The Client may not use AI tools to materially manipulate or generate derivative content from Carley's likeness, voice, or performance, even when the original content has otherwise been licensed for commercial use.

Standard non-generative production tools used solely for routine editing, such as basic color correction, noise reduction, stabilization, cropping, resizing, captioning, or file compression, are permitted provided they do not materially alter Carley's likeness, voice, statements, performance, or intended meaning.

Any exception to this AI restriction must be expressly approved in writing by Carley Brewer before such use occurs. Approval of the underlying content or campaign does not constitute consent for AI usage.

Third-Party Usage

Usage rights are granted specifically to the Client named in the project agreement.

Content may not be transferred, sublicensed, sold, distributed, or provided to a parent company, subsidiary, retailer, advertising agency, media partner, distributor, or other third party unless that usage has been approved in writing.

Usage Term

The length of the Client's license will be defined within the individual project agreement.

Once the agreed licensing period ends, the Client must discontinue any paid or commercial use of the content unless the license is renewed or extended.

Previously published organic social posts do not need to be removed unless otherwise agreed.

Ownership

Payment for content creation does not constitute a transfer of copyright or full ownership unless a complete buyout has been specifically negotiated and documented in writing.

Carley Brewer retains all ownership rights to the original content and may retain copies of the work for portfolio, promotional, archival, and business purposes unless confidentiality or exclusivity terms state otherwise.

Expanded Licensing

Clients interested in broader usage, extended licensing, exclusivity, whitelisting, perpetual rights, raw footage, third-party usage, or a full content buyout should request those rights before publishing the content outside the original agreement.

Any usage outside the agreed scope requires prior written consent and may require an additional licensing fee.
